Please read these Terms of Use (“Terms”) carefully. By accessing or using keyrahealth.com and any related pages (the “Site”), you agree to be bound by these Terms. If you do not agree, do not use the Site.

These Terms are an agreement between you and Keyra Health LLC (“Keyra,” “we,” “us,” or “our”), a New Jersey limited liability company. The brand name “Keyra” refers to services operated by Keyra Health LLC.

1. About Keyra

Keyra is a coordination platform operated by Keyra Health LLC. We help interested individuals connect with independent licensed clinicians and authorized compounding pharmacies through trusted third-party partners.

Keyra Health LLC does not:

• Provide medical care or medical advice
• Prescribe, diagnose, or treat any condition
• Dispense or compound medication
• Operate as a pharmacy or telehealth clinic
• Establish a doctor-patient relationship with anyone who uses this Site or completes a form or quiz

All clinical decisions are made solely by independent licensed clinicians, who retain sole authority to determine whether a prescription is appropriate. All pharmacy services are provided by authorized independent pharmacies. Keyra does not control or interfere with those clinical or pharmacy services.

2. Eligibility

You must be at least 18 years old to use the Site or submit an interest form. By using the Site, you represent that you are at least 18 years of age and have the legal capacity to enter into these Terms.

3. Early-Access / Interest Form

Submitting an interest form, completing a quiz, or joining the early-access list:

• Does not create a doctor-patient or clinician-patient relationship with Keyra Health LLC
• Does not guarantee that you will be offered access or services
• Does not constitute a request for a prescription or medical treatment
• Does not obligate Keyra or any clinician to provide any product or service
• Is for informational and waitlist purposes only

Any future clinical evaluation occurs only with independent licensed clinicians. Those clinicians alone decide whether treatment is appropriate. Any future access is also subject to applicable laws, regulations, and product availability.

4. No Medical Advice

Content on the Site is for general educational and informational purposes only. It is not medical advice and should not be treated as such. Always seek the advice of a qualified healthcare professional with any questions regarding a medical condition. Never disregard professional medical advice or delay seeking it because of something you have read on the Site.

5. User Responsibilities

You agree to:

• Provide accurate information when submitting forms
• Use the Site only for lawful purposes
• Not attempt to interfere with the proper working of the Site
• Not use the Site to transmit harmful code or engage in fraudulent activity

6. Intellectual Property

All content on the Site, including text, graphics, logos, and design, is owned by or licensed to Keyra and is protected by copyright and other intellectual property laws. You may not copy, modify, distribute, or create derivative works without our prior written permission.

7. Limitation of Liability

To the maximum extent permitted by law, Keyra and its officers, directors, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, arising from your use of the Site or any services coordinated through partners.

In no event shall Keyra’s total liability to you for all claims arising out of or related to these Terms or the Site exceed one hundred dollars ($100).

8. Indemnification

You agree to indemnify and hold harmless Keyra and its affiliates from any claims, damages, losses, or expenses (including reasonable attorneys’ fees) arising out of your use of the Site, your violation of these Terms, or your violation of any rights of another party.

9. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States and the State of Delaware, without regard to conflict of law principles.

10. Changes to These Terms

We may update these Terms from time to time. The “Last updated” date at the top of this page indicates when the Terms were last revised. Your continued use of the Site after any changes constitutes acceptance of the revised Terms.
